Members' Consent: Sale of Interests

This Members’ Consent: Sale of Interests (FL LLC) template can be used for the members of a Florida limited liability company (LLC) to consent to the sale of membership interests. Membership interests in an LLC are considered transferable interests and the personal property of the member. Fla. Stat. Ann. § 605.0102(66). This template includes practical guidance and drafting notes. Under Florida law, an LLC’s operating agreement governs the relations among the members and between the members and the LLC itself. Fla. Stat. Ann. § 605.0105(1)(a). This resolution of members relates to a sale of all or a portion of the membership interests in an LLC in which 1) the LLC’s operating agreement requires the consent of the members for such a transaction, or 2) the LLC itself is a party to the sale agreement and/or other transaction documents.
